Welcome to WyllFlow.
These Terms of Service ("Terms") govern your access to and use of WyllFlow, including our website, applications, APIs, integrations, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be legally bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you and that entity.
If you do not agree to these Terms, you must not access or use the Service.
1. Definitions
For the purposes of these Terms:

Account means a registered account used to access the Service.

Content means any information, data, documents, invoices, customer information, contacts, files, images, automation workflows, notes, communications, or other materials uploaded, created, stored, or processed through the Service.

Customer means any client, customer, lead, contact, or other person whose information you store or process using the Service.

Company, we, our, or us means WyllFlow.

Service means the WyllFlow CRM, invoicing, automation, AI, reporting, and related business management platform, including our website, APIs, applications, and integrations.

Subscription means a paid plan that grants access to premium features of the Service.

User, you, or your means any individual or legal entity accessing or using the Service.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.
If you are using the Service on behalf of an organization, business, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
You may not use the Service if doing so would violate any applicable laws or regulations.
3. Account Registration and Security
You may register using:
- Email and password
- Supported third-party authentication providers (such as Google or GitHub)
You agree to:
- Provide accurate and complete registration information.
- Keep your account information up to date.
- Maintain the confidentiality of your login credentials.
- Notify us immediately if you suspect unauthorized access to your Account.
- Be responsible for all activities occurring under your Account.
We reserve the right to suspend or terminate Accounts that contain false information, are created fraudulently, or are used in violation of these Terms.
4. Acceptable Use
You may use WyllFlow only for lawful business purposes.
You agree that you will not:
- Violate any applicable law or regulation.
- Upload, transmit, or distribute unlawful, defamatory, abusive, or infringing content.
- Upload malware, viruses, ransomware, spyware, or other malicious software.
- Attempt to reverse engineer, copy, scrape, decompile, or exploit the Service.
- Probe, scan, or test the vulnerability of our systems.
- Attempt to bypass security measures or usage limits.
- Interfere with the operation of the Service.
- Access another user's account without authorization.
- Use the Service to generate fraudulent invoices or falsify business records.
- Use the Service for money laundering, terrorism financing, fraud, or other unlawful financial activities.
- Use automated tools to overload or abuse the Service.
- Send spam or unsolicited communications through the Service.
- Misrepresent your identity or affiliation.
- Use the Service in any way that could harm WyllFlow, other users, or third parties.
Violation of this section may result in immediate suspension or termination of your Account.
5. User Content
You retain ownership of all Content you submit to the Service.
You grant WyllFlow a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your Content solely for the purpose of:
- Providing the Service;
- Maintaining backups;
- Improving product functionality;
- Preventing fraud and abuse;
- Complying with legal obligations.
This license ends when your Content is permanently deleted from our systems, except where retention is required by law.
You are solely responsible for:
- The legality of your Content;
- Obtaining any required permissions;
- Ensuring the accuracy of information stored within your Account.
6. Data Backups
We maintain reasonable backup and disaster recovery procedures designed to help protect customer data.
However, no backup system is infallible.
You remain responsible for maintaining copies of any business records, invoices, customer information, reports, or other important data that you store within WyllFlow.
We encourage you to export your data periodically.
Except where prohibited by applicable law, WyllFlow is not responsible for loss or corruption of data resulting from user actions, third-party failures, internet outages, or circumstances beyond our reasonable control.
7. Subscriptions and Payments
Subscription Plans
Some features of the Service require an active paid Subscription.
Subscription pricing, features, limitations, and billing intervals are described on our pricing page and may change from time to time.
Billing
Paid subscriptions are managed through Polar.sh.
By purchasing a Subscription, you authorize recurring billing until your Subscription is cancelled.
We do not store your full payment card details.
Subscription Cancellation
You may cancel your Subscription at any time through your account settings.
Unless otherwise required by law, cancellations become effective at the end of the current billing cycle.
Previously paid fees are generally non-refundable.
Customer Payment Providers
WyllFlow allows businesses to connect supported third-party payment providers, including providers such as Paystack and Flutterwave, to receive payments from their own customers.
These payment providers process transactions directly.
WyllFlow:
- does not receive customer funds;
- does not hold customer funds;
- does not act as a payment processor, bank, money transmitter, or financial institution;
- is not responsible for payment failures, chargebacks, settlement delays, or disputes between you, your customers, or your chosen payment provider.
Your use of any payment provider is governed by that provider's own terms and privacy policy.
8. Free Plans and Beta Features
We may offer free plans, trial periods, beta features, preview features, or experimental functionality.
These offerings may have limited functionality and may be modified, suspended, or discontinued at any time without prior notice.
Beta or preview features are provided "AS IS" and may contain bugs, errors, or incomplete functionality.
We make no guarantees regarding the availability, reliability, or future release of beta features.
9. AI Features
Certain features of the Service may use artificial intelligence ("AI") provided by third-party providers.
AI-powered features may generate content, recommendations, summaries, workflows, or other outputs based on the information you provide.
While we strive to provide useful and reliable AI functionality, AI-generated output may be inaccurate, incomplete, outdated, or inappropriate for your specific circumstances.
You acknowledge and agree that:
- AI-generated output is provided for informational and productivity purposes only.
- You are responsible for reviewing, verifying, and approving any AI-generated content before relying on or acting upon it.
- WyllFlow is not responsible for decisions made based on AI-generated output.
- AI features should not be relied upon as legal, tax, accounting, financial, medical, or other professional advice.
10. Intellectual Property
The Service, including its software, user interface, design, branding, trademarks, logos, documentation, APIs, and underlying technology, is owned by or licensed to WyllFlow and is protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not:
- Copy;
- Modify;
- Distribute;
- Sell;
- License;
- Reverse engineer;
- Decompile; or
- Create derivative works from the Service.
Nothing in these Terms transfers ownership of any intellectual property rights to you.
11. Third-Party Services
The Service may integrate with or rely upon third-party providers, including but not limited to authentication providers, cloud hosting providers, analytics services, AI providers, email delivery services, storage providers, payment providers, and background task services.
Your use of third-party services may be subject to their own terms, privacy policies, and practices.
WyllFlow is not responsible for the availability, security, accuracy, or performance of third-party services.
12. Service Availability
We strive to provide a reliable and secure Service but do not guarantee uninterrupted or error-free operation.
From time to time, the Service may become unavailable due to:
- Scheduled maintenance;
- Emergency maintenance;
- Internet outages;
- Third-party service disruptions;
- Security incidents; or
- Circumstances beyond our reasonable control.
We reserve the right to modify, suspend, or discontinue any feature or portion of the Service at any time.
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
By using the Service, you acknowledge that you have read and understood our Privacy Policy.
14. Suspension and Termination
We may suspend or terminate your Account immediately if:
- You violate these Terms;
- You use the Service unlawfully;
- Your activities present a security risk;
- We are required to do so by law.
You may terminate your Account at any time.
Upon termination:
- Your right to access the Service ends immediately.
- Your Subscription will not automatically be refunded.
- We may retain or delete your data in accordance with our Privacy Policy and applicable law.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WyllFlow DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY; AND
- AVAILABILITY.
We do not guarantee that:
- the Service will always be uninterrupted;
- the Service will always be secure;
- defects will always be corrected; or
- the Service will meet every business requirement.
You remain solely responsible for ensuring that invoices, financial records, tax calculations, customer communications, and other business activities generated or managed through the Service comply with applicable laws and regulations.
16. Limitation of Liability
To the maximum extent permitted by applicable law, WyllFlow and its owners, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.
This includes, without limitation:
- Loss of profits;
- Loss of revenue;
- Loss of business opportunities;
- Loss of goodwill;
- Loss of data;
- Business interruption; or
- Any other indirect economic loss.
Our total aggregate liability for all claims relating to the Service shall not exceed the greater of:
- the total amount you paid to WyllFlow during the twelve (12) months immediately preceding the event giving rise to the claim; or
- USD $100.
Some jurisdictions do not permit certain limitations of liability, so parts of this section may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless WyllFlow, its affiliates, officers, directors, employees, contractors, licensors, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service;
- Your Content;
- Your violation of these Terms;
- Your violation of any applicable law; or
- Your infringement of any third-party rights.
18. Force Majeure
WyllFlow will not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to:
- Natural disasters;
- Fire;
- Flood;
- War;
- Terrorism;
- Civil unrest;
- Government actions;
- Labor disputes;
- Internet failures;
- Power outages;
- Cyberattacks; or
- Failures of third-party infrastructure providers.
19. Export Controls and Sanctions
You represent and warrant that:
- You are not located in a country subject to applicable trade embargoes or sanctions that prohibit use of the Service.
- You are not listed on any applicable government restricted-party list.
- You will not use the Service in violation of applicable export control or sanctions laws.
20. Feedback
If you provide suggestions, ideas, feature requests, comments, or other feedback regarding the Service, you grant WyllFlow a perpetual, worldwide, irrevocable, royalty-free license to use, modify, incorporate, publish, and otherwise exploit that feedback without compensation or obligation to you.
21. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.
22. Dispute Resolution
Before initiating legal proceedings, both parties agree to make reasonable efforts to resolve disputes through good-faith negotiations.
If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Ghana.
23. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.
24. No Waiver
Failure by WyllFlow to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
25. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
WyllFlow may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets.
26. Entire Agreement
These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and WyllFlow regarding your use of the Service and supersede any prior agreements or understandings relating to the Service.
27. Survival
The provisions relating to intellectual property, user content, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, feedback, and any other provisions that by their nature should survive termination shall remain in effect after these Terms end or your Account is terminated.
28. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we will update the "Last updated" date and, where required by law, provide additional notice through the Service or by email.
Your continued use of the Service after updated Terms become effective constitutes your acceptance of those changes.
